Licence terms and conditions of sale

1. Scope

These terms govern the licence to use the MatchDay add-on for XenForo (the “Software”) granted by Rui Silva (“we”) to the person or organisation that buys it (“you”). By completing a purchase or installing the Software you accept these terms.

Payment is handled by Stripe as merchant of record. Your purchase contract for the payment is with Stripe; the licence to use the Software is with us.

2. Licence

Each licence allows you to install and use the Software on one XenForo forum, identified by its domain name, for the paid period. Test, staging and local copies of that same forum are included.

3. Plans, duration and renewal

Licences are sold as annual subscriptions (Lite or Pro). The subscription renews automatically each year at the price shown at the time of renewal until you cancel it. You can cancel at any time from the link in your purchase email; the licence then remains valid until the end of the period already paid.

If a licence is not renewed, the Software keeps working with its existing data, but updates, support and Pro features stop until you renew. Nothing on your forum is deleted.

4. Licence check

To validate your licence, the Software contacts our server when the licence key is saved and once a day. It sends only the licence key, your forum's domain name and the Software version. The first check links the licence to your forum's domain; contact us to move it to another domain. If our server cannot be reached, the Software keeps its last known licence status. 5. Third-party services and your responsibilities

Automatic fixture and result updates use third-party data providers such as football-data.org, with an API key that you obtain yourself under that provider's terms. You are responsible for complying with those terms and with any rights in the data you publish.

The Software is designed for free-to-play prediction games. You must not use it to run games that involve stakes, paid entry or prizes of monetary value unless you hold every licence required for that in your jurisdiction. You are the controller of your forum members' personal data processed by the Software and are responsible for your own compliance with data protection law.

6. Updates and support

During the paid period you are entitled to updates published for your plan and to support by email at matchday@tugastudio.com. We aim to reply within three working days. Support covers installing and using the Software; it does not cover custom development or problems caused by other add-ons, themes or server configuration.

7. Conformity and warranty

If you are a consumer, you have the rights to conformity of digital content and services provided by law (in Portugal, Decree-Law 84/2021). We will correct any lack of conformity at no cost within a reasonable time.

If you are acting for business purposes, the Software is provided “as is”, without warranties beyond those that cannot be excluded by law.

8. Liability

Nothing in these terms limits liability for intent, gross negligence, death or personal injury, or any liability that cannot be limited by law, including consumers' mandatory rights. Otherwise, our total liability is limited to the amount you paid for the licence in the twelve months before the event giving rise to the claim. We are not liable for loss of data, profit or business, or for the availability of third-party services. Keep regular backups of your forum.

9. Termination

We may revoke a licence if you seriously breach these terms, for example by sharing or reselling the Software, after notice by email where the breach can be remedied. You may stop using the Software and cancel your subscription at any time.

10. Changes to these terms

We may update these terms for future purchases and renewals. Material changes will be announced by email at least 30 days before your next renewal, and you can cancel before it takes effect.

11. Law, disputes and language

These terms are governed by Portuguese law. For consumers, this does not remove the protection of the mandatory rules of the country where they live. Disputes will be settled by the courts of Porto, without prejudice to consumers' right to go to the courts of their place of residence or to consumer arbitration, as described in our Legal notice.

These terms are available in several languages. In case of a discrepancy, the English version prevails, except where the law requires the Portuguese version to prevail for consumers in Portugal.
